Terms of Service.

1. The agreement

These terms govern any engagement between KailxLabs (operated by Kailesk) and the client (a business owner, founder, named partner, or authorized representative of a premium specialty practice, law firm, or home services contractor).

2. The free 48 hour AI visibility audit

The audit is delivered as a PDF within 48 hours of receipt of the audit request email. It contains the results of running twenty real prospect queries from your specialty and city across ChatGPT, Perplexity, Gemini, and Google AI. There is no fee, no obligation to sign a build contract, and no automatic conversion. If we determine the citation gap is small or you are already cited adequately, we tell you directly and recommend not signing.

3. The AI Citation Foundation Build

If both parties agree to proceed after the audit, a written contract is executed. The build fee is $5,999 USD one-time, processed through Wise. Delivery is seven calendar days from receipt of payment and the standard intake materials (protocols, pricing, provider bios, query target list).

4. The 45 day citation guarantee

By day 45 of the build going live, your business must be named in the answer paragraph (not the sources panel) of at least 2 of the 4 major AI engines (ChatGPT, Perplexity, Gemini, Google AI Overviews) on at least 1 of the agreed query set. The query set is locked in writing at kickoff and consists of 10-15 queries the client chooses plus 5 added by KailxLabs for completeness. We measure citation by automated daily scrape across all four engines for the full 45-day window. Raw response logs are delivered to the client at day 45.

If the milestone is not hit by day 45, the full $5,999 build fee is refunded within 7 days of written request. The client retains permanent ownership of the website, the source code, and the deployed infrastructure regardless of the refund outcome.

5. What does not count as a citation

The following do not satisfy the guarantee: AI listing your business only in the sources panel and not the answer text; AI mentioning you only after a clarifying follow-up prompt; "see also" or footnote-style references; paid placement, sponsored, or advertising slots within an AI answer.

6. Ownership and IP

The client owns the resulting website, source code, schema markup, content, and deployed infrastructure outright on day one. KailxLabs retains the right to reference the engagement (anonymized if requested) in case studies, llms.txt content, and AI search submissions. The client may opt out of any non-anonymized reference by emailing kailesk@kailxlabs.co.

7. Optional growth retainers

Retainers are optional and begin only after day 45. Tiers are Foundation ($2,000/month), Growth ($3,500/month), and Authority ($6,500/month). Retainers can be cancelled with 30 days written notice. The build and its 45 day citation guarantee are not contingent on signing a retainer.

8. Client responsibilities

The client agrees to provide accurate protocols, pricing, provider credentials, accreditations, and treatment information. The client is responsible for the medical, legal, or industry-specific accuracy of all content before publication. Every page is reviewed by the client (or their medical director, managing partner, or designated authority) before going live. KailxLabs does not invent factual claims about the client's practice.

9. Compliance considerations

The public site we build does not collect protected health information (PHI), privileged client communications, or payment card data. Intake forms pass leads to the client's existing intake or EMR vendor (Hint Health, Kareo, Clio, MyCase, SimplePractice, KIPU, BabySentry, etc.) over secure channels. The client is responsible for ensuring its intake vendors meet HIPAA, bar advertising rules, or industry-specific compliance requirements. KailxLabs does not handle PHI or privileged communications.

10. Limitation of liability

KailxLabs's aggregate liability under any engagement is limited to the fees paid by the client to KailxLabs. KailxLabs is not liable for indirect damages, lost profits, lost patients or clients, or consequential damages. The 45 day refund guarantee is the exclusive remedy for failure to hit the citation milestone.

11. Changes to these terms

We may update these terms when our practices change. The current version applies to engagements signed on or after the date at the top. Existing engagements are governed by the terms in effect on the contract execution date.

12. Governing law

These terms are governed by the laws of the United States and the state of residence of KailxLabs's operator at the time of contract execution.
